Understanding Cleaning Production Rates

When bidding a cleaning account, labor is always the biggest expense. In order to determine your labor expense for a cleaning account you'll need to figure out how many hours it will take to get the job done.

In order to determine the number of hours it will take, you'll need to break the job down into production rates by task. Using a cleaning rates production chart will be helpful in figuring this out. A cleaning production rate is not foolproof, but it will give you an average time per task under normal circumstances.

No situation is ever really "normal", so it's helpful to understand different circumstances that could affect a "normal" cleaning production rate.

Square Footage. Perhaps the account you're bidding on has 2500 square feet of vinyl flooring that needs to be mopped. The standard production rate for mopping is 5000 square feet per hour, so that 2500 square feet of floor should take 1/2 hour to mop. However, you need to ask yourself some questions. Is the vinyl flooring all in one large area? Or is it broken up into two floors, with 4 restrooms, a breakroom, copy room, computer room, and utility room? Do you think it will still take 1/2 hour when the floors are scattered throughout the building? This may not be a "normal circumstance" so you need to take that into consideration.

Task Frequency. How often are tasks being performed -- once a day, once a week, once a month? Keep in mind that by lowering the frequency of a task, you're not necessarily reducing time and expense for the customer. Emptying trash 2 days a week versus 5 days a week doesn't really save much time and will affect your production rate. If your bid calls for emptying trash in a busy office twice a week, you may find overflowing trash cans, which will slow your workers down.

Number of Occupants. If you're bidding on a small office building with a few employees and very little public traffic, your production rates will probably soar. However if that same sized building has lots of employees crammed into numerous cubicles, and they get a lot of public traffic, then production rates will go down due to more people occupying the building.

Equipment. If you give your employees the wrong equipment, or give them equipment that has frequent breakdowns, then your production rates will be affected. If your building has wide hallways and open areas, they'll get more accomplished with a wide area vacuum, or a backpack vacuum versus a 12" upright vacuum.

Area of the Country. Buildings located in climates that have snowfall or lots of rain will have more maintenance required due to snow, salt, sand and dirt getting tracked into the building. Climates with high humidity can also affect production rates for hard floor care and carpet cleaning, as drying times are much slower.

Customer Standards. One of the most intangible variables in regards to cleaning production rates has to do with customer standards. Is your prospective customer primarily interested in price? Then perhaps the "normal" production rates will be accurate. However, if your customer is dissatisfied with the current cleaning contractor because the quality of service is not there, then your production rates could be affected because you'll want to make sure your employees are spending enough time on each task.

Keeping these circumstances in mind when walking through a building and bidding on a new cleaning account will help you "massage" the numbers the way they should be for this particular bid.

Pregnancy is a trying time for all women. The added stress, the complicated health issues and the additional weight can be overwhelming for many. But when you add in severe health problems like Crohns disease, the stress levels can reach unhealthy levels. So, what effects does Crohns disease have on pregnancy and what does this mean for the health of the baby?

Studies have shown that most women or couples who have an active case of Crohns (they regularly get flare-ups) may have trouble even conceiving. A common drug used to treat Crohns called sulfasalzine may render men temporarily infertile. There are less common medications available for men who are looking to conceive so consult your doctor to get switched to a treatment that wont damage your sperm count.

Most women who have Crohns are able to carry their baby to a full-term pregnancy and have a healthy boy or girl, but there are some direct links between Crohns disease and problems which could potentially crop up. Since Crohns is responsible for causing ulcers and abscesses in the body, women who may have these in the birth canal or in the vagina may need to have a caesarean section birth. Crohns has been linked to a higher rate of miscarriage, stillbirth or premature birth at a rate of two to three times. There are also links between a worsening of symptoms directly after becoming pregnant and during the first trimester. Some women also experience a severe flare-up immediately after giving birth. The one thing to keep in mind is that every case of Crohns is different and every pregnancy is different, as well. There is no link at this time that says if you have severe Crohns related symptoms during one pregnancy that youll have them during your next one, too.

One of the most important aspects to having a healthy baby is eating a proper diet. As everyone knows, a womans diet changes dramatically during pregnancy, but diet can be a main trigger to Crohns flair-ups. So how to rectify the two? The best thing to do is to consult your doctors and remember, if you are treating your Crohns with sulfasalazine, take folic acid to help prevent birth defects. Most likely, your doctor and obstetrician will recommend a few special foods and an increased vitamin and mineral supplement plan.

There is a debated genetic link associated with Crohns. Some studies have shown no real link, while others have shown that if someone in your family has Crohns, there is a 10 times greater chance of developing it, and if that person is a brother or a sister, the risk jumps to 30 times. Targeting the actual genes that cause it has been extremely challenging since it appears that more than one gene affects Crohns disease. The main consensus on this controversial area is that there may be some genetic link, but its all about the environmental risk factors associated with it. Dont smoke, try to eat right and keep the stress down and you dont have to worry about passing Crohns disease onto your newborn baby.

Jigsaw Puzzles, A Great Gift With A Lot To Offer!

Here comes the holiday season again, gasp! That means chasing all over town searching for that perfect gift for everyone on your list, fighting with the crowds for the latest "it" toy or newest electronic thing-a-ma-jig, right?

Why not try a different approach this year, and give some- thing special to your family and friends? Jigsaw puzzles could be the answer!

My love of jigsaw puzzles comes from my Grandmother.

My grandmother lived in a very small town in northern Minnesota where the moquitos out number the people. It certainly was a boring place to spend a summer vacation as a kid. What was worse I realized, Grandma didn't have cable TV! Out of sheer boredom, I sat down with her while she worked a puzzle.

Grandma was smart, she had an extra chair and some cookies waiting for me to join her.

There is one puzzle I remember clearly, it was a picture of a red and white quilt and it was huge! It must have been 2000 pieces and it took up the entire dinning room table. I was sure there was no way anyone could ever get that whole puzzle put together, it was simply too hard. It took some time but after I found a few pieces and had completed one square of the quilt I was hooked. Every day I looked forward to working on the puzzle, and every piece found was a triumph! It took a few weeks, but we finally finished that puzzle, and all of Grandma's famous sugar cookies too!

I felt proud of what we accomplished and that I was able to help. We left it on the table for a couple of days to admire our work. Soon I discovered the rest of Grandma's puzzle collection and I couldn't wait to dig into a new puzzle!

Looking back on this now as an adult and a mom myself, I realize that this simple pastime gave me many things. At first I didn't think it was possible to complete the jigsaw puzzle, but once it was done I felt a great sense of pride and accomplish- ment. More importantly, the real gift was quality time, great conversation and fantastic memories of my Grandmother. ( And I still have her cookie recipe!)

So before you rush out to buy the latest "batteries not included" flashing light gadget, take a second look at this old fashioned gift. You may get more back then you expected.

Things to look for when purchasing a jigsaw puzzle:

1) Picture :

I think the most important thing to look for when purchasing a jigsaw puzzle is the picture itself. Puzzles are meant to be fun, so find a picture that makes you smile! Have fun!

2) Size and Piece count:

You should pay attention to the piece count, make sure it is appropriate to the age and skill of the puzzler. 500 pieces may be to hard for your 6 year old to do solo, but may be perfect for the family to do together.

The size of the completed puzzle is important. Make sure the area you will assemble the puzzle will hold the puzzle and have extra room for the un assembled puzzle pieces.

3) Quality:

A quality puzzle is well worth the price! Vibrant colors, tightly fitting pieces etc. will make assembling the puzzle more enjoyable.

It is frustrating to have the paper fall off the cardboard of a puzzle piece or to have thin pieces that break easily.

4) Challenge level:

While choosing a puzzle, keep in mind that a puzzle of a solid color or repeating pattern may make it more difficult then a puzzle with a variety of colors. Example, a puzzle of black cat on a black blanket even though it is only 500 pieces may be extra challenging.

Keep this in mind, but remember a puzzle is supposed to be a challenge!

5) Specialty Puzzles:

The first thing that comes to mind when you think of a puzzle may be a rectangle shape with a picture of a field of flowers. If this sounds boring to you keep looking! There are many unique puzzles out there.

Shaped puzzles are puzzles that have a unique border shape.

Such as in the shape of a dog or of an eagle in flight. These puzzles offer a a challenge to those who always work the border of a puzzle first. Round puzzles are some of my favorites to work because of the unusual way the pieces are cut!

Glow In The Dark puzzles look like a standard puzzle but parts of the design will glow in the dark making them a great choice to glue and save!
Tips for getting started:

Now that you have a puzzle, and a place to work it, you are a little overwhelmed by looking at that huge pile of pieces. Now what?

1) Lighting A bright place to work will reduce eye strain and make for a more enjoyable experience.

2) Sort your pieces I like to turn all the pieces right side up first as well as sorting the edge pieces right away. I have also found that using boxes or small containers to sort the different colors into is very helpful! ( The boxes of previously worked puzzles that you have glued together to display are perfect for this.)

3) Enlist help I have found that it is nearly impossible to walk past someone who is working a puzzle without stopping to find a few pieces myself.

Puzzles are a great way to pass time and you may have a wonderful conversation too!

4) Puzzle roll ups If you need to use the dining room table again, and you are not finished with your puzzle yet, don't despair! A puzzle roll up will help you move and store your unfinished puzzle for another day! Puzzle roll ups are available in a variety of sizes.

5) Puzzle Glue Once you have completed your puzzle it can be heart breaking to take it apart again. If you really like the design, or just want to show off your hard work, it is a simple task to glue the puzzle together and hang it on your wall! A good puzzle glue will dry clear so it doesn't distort the beauty of the colors. Puzzle glue is brushed on, and when it is dry you can frame the puzzle, or hang it up as is. Keep the decor of your home in mind when you are buying puzzles, and you can fill your home with art you made yourself!

6) Afterwards...

If you have completed a puzzle and don't wish to work it again here are several ideas for you. Pass it on! Know a friend that enjoys puzzles? Exchange your completed puzzles with them! Donate puzzles to local schools, churches, nursing homes etc.

VW Performance Parts - Suspension / Handling Upgrades

There are a lot of aftermarket parts you can install on your VW in your own garage that will improve handling performance. You should do plenty of research before deciding which parts to put on your car. There are many forums online full of VW tuners that can give you a great idea of what parts you should or shouldn't install on your car. Chances are if a part exists someone has installed it and written about it on one of these forums.

Here are a few handling upgrades you can do that will make your car more fun to drive.

1) Sway Bars. If you take a corner at high speed and it feels like your car is falling over sideways you might look into upgrading your sway bars. An anti-roll kit helps keep your car flat during cornering. Aftermarket bars are usually thicker and/or stiffer than the stock bars, which is how they can perform better than the stock sways. Be warned however that this puts more stress on your tires grip on the road, so if you install sway bars on a VW with bald tires you could be asking for trouble. These can be installed yourself without a huge amount of trouble if you have the right tools and a place to do it. It will probably take several hours. Installing these bars will not impact the ride quality of your vehicle, which is great for those who like to take corners a bit crazy once in a while but not have the car feel stiff and bumpy all the time. A good set of sway bars (front and rear) will run you a few hundred dollars or so.

2) Lowering Springs. Aftermarket springs lower your car anywhere from .5 to 2 inches. This has the effect of lowering your car's center of gravity, which improves handling. These new springs also have different spring rates and will usually give you a much stiffer ride than the stock springs. While springs are generally really cheap ($100-300), installing them is not easy. You must have a spring compressor tool and know how to use it. These springs are under tremendous pressure with an entire car sitting on them, and if one should come loose while using the spring compressor it could easily kill you. Even with the knowledge of how this installation is done it can still take a long time. Unfortunately this also means that having them installed at a shop is usually going to cost you more than the springs cost. I've seen quotes of $150 all the way up to $600 to install a set of springs. Be aware that lowering your car too much can have other implications and you should do research on "camber" prior to choosing a set of springs.

3) Shocks. Replacing the stock springs but leaving the old shocks on there is going to cost you in the long run. Lowering springs put more stress on the shocks since they are more compressed under normal use. This will cause them to wear out faster. Depending on how many miles are on your current shocks it is probably a good idea to replace them at the same time as the springs. This is especially true if you're paying someone else to install them. It will probably cost almost the same amount to install shocks and springs as it will to install just the springs. You don't want to pay someone that labor fee again in a few months when your shocks need replacing. Once you've 'sprung' for new shocks and springs, you may want to consider looking into coilovers since the cost will be very close to the same.

4) Coilovers. Coilovers are a shock and spring combination that has the added flexibility of being adjustable. You can adjust the ride height of your vehicle. This is great if you take your VW to the track. You can lower it for racing and raise it back up for daily driving. The more expensive coilovers also feature the ability to adjust the ride stiffness. This also comes in handy if you race your car. You most likely won't want it set to maximum stiffness for daily driving. A set of coilovers can run between $500-1500.

5) Strut Tower Bar. You've probably seen these bars for sale. They're usually made of colored aluminum and go across the front struts near the rear of the engine. It is generally accepted that these don't do much for you in terms of performance, but they do make the engine compartment look nicer. If you decide to pick one up make sure you get the billet aluminum oil cap that matches.

6) Tires. Probably the most overlooked performance enhancement you can do for your car is to replace the tires. Adding lots of engine power won't do you any good if you can't get that power to the pavement. Replacing your tires with a wider tire or tires with a stickier compound will help you get more traction. Choosing tires is usually a compromise between Performance, Ride Comfort, and Tread Life. High performance tires don't last as long as regular ones. High performance tires can cost quite a bit of money too.

I hope this helped give you some ideas about the upgrades you can do on your Volkswagen. Just remember that making your suspension perform better will sacrifice passenger comfort. You may have more fun driving, but nobody will want to ride with you if your suspension is too stiff!

Youve read about them, youve heard about them, youve probably participated in one. But what exactly are auctions? Isnt it just the simple method of selling an object to interested people who bid until the highest bidder gets it?

That is definitely the scenario in most auctions. But auctions are actually more complex than people realize. Do you know that not all auctions have ascending price schemes? While the ascending bid is the most popular auction format, other formats exist such as the descending, simultaneous and handshake forms of bidding.

An auction, in general terms, is the method of allocating scarce goods. It is a unique selling method that is based on competition. Truly, the objectives are simple: the seller wants to obtain the most money for his item while the buyers want to purchase it at their own desired prices. Everything can be sold in auctions from singular items like paintings to multiple units of a homogenous item such as treasury securities. Auctions are most useful when a seller is unsure of the price his item can get, or when selling a commodity with undeterminable quality.

Some unique things about auctions: the price of an item is set by the bidders and not by the seller. Also, the auctioneer doesnt own the goods but rather acts as an agent for the real owner. Lastly, buyers often know the value of an item more than the seller.

While it has its advantages, an auction also has drawbacks, like the so-called winners curse. This is the phenomenon when a lucky winner pays more for an item than it is worth. These winners realize that their valuation of an object is higher than that of anyone else.

Spam Fighting Strategies for Webmasters

Battling spam is just like fighting any other activity that is illegal and needs to be fought in many areas. There are some easy steps that you can take to minimize the impact of spam in your email, as discussed in Part I. However, the webmaster of your email service has many more tools they can use to fight spam.

The effort would be small if a spammer had to collect email addresses one by one. This is why they take advantage of programming that is automated, such as using a spambot. A spambot is a program that looks through Internet websites for legitimate email addresses. These addresses are then "harvested" and put into huge lists.

The best way to deal with spammers is by raising their cost without putting too much of your own effort into it. Some of the techniques described in Part I can also be used by a webmaster.

CAMOUFLAGE

A spambot will only do what it has been told to do through a program. Many times a spambot will pass you by simply if you've disguised your email address. This is because a spambot is usually programmed to search for character strings that look like this: Jane_email@emailaddressdomain.com. You can fool a spambot by changing the email to Jane_email_at_NOSPAMemailaddressdomain.com.

Should the disguised email address be harvested by a spambot it will still need to "scrubbed" before it can be used. A program for scrubbing can be difficult to write since there are many variations that are possible, such as NO_SPAM and no*spam. Try to be as creative as possible.

There is a disadvantage to the above method: you need to remember to take out the extra letters as well as put in th@ sign.

You can make an email address impossible to harvest by putting it into a graphic instead of plain text or mailto:. Not many spambots are smart enough to translate a graphic and understand the pixel pattern as text that is usable. This is particularly true since graphics can have many shapes. Again, this method can be inconvenient because you won't just be able to reply to this address or copy and paste it.

Another approach is to get rid of the accessbile and visible email address completely. You can use a form for feedback that stores data in areas where a spambot can't search. You can also store the data inside of easy to write code that is difficult to decipher due to encryption. An example of this would be javascript.

BARRIERS

Communication becomes more difficult between trusted sources when visible email addresses are hidden in graphics or banned from visibility. You want to hinder the spammer by putting a block on any spambots that are known.

Many times they will have a signature that is easily seen through an IP address that is well known or a process name (and sometimes both). Other times they can search for User-Agents that are a non-browser form.

Webmasters can easily block IP addresses as well as block any unwanted processes. The webmaster just needs to begin a cron job that will scan the network for the name of a process and then terminate any IDs that are associated with the process.

A more experienced webmaster will have a daemon that will sleep until that time when a process name is noticed. The daemon will then "wake up" and terminate the process before any spam harvesting can occur. Sample programs, which are only a bit harder to implement, can be used and are available online.

You can get traps for spambots that will block any request that is incoming simply based on search patterns and behaviors. This method to fight spam is slightly more difficult to set up and attend to because it needs certain patterns to define it, changing the pattern slightly for different spambots. RAISE THE PRICE

After time most spammers will tire of trying different variations in programming just to get email addresses, making the reward much less than the effort. This is what you want to do: make the spammer cost much higher than the reward which will make your reward much more than the effort.

A spammer won't give up until there is no profit in the effort. US legislation, such as CAN-SPAM, has only seemed to deter businesses that are legitimate and that were never the guilty ones to begin with.

There are, however, some things being done to reduce the problem of spam to just an annoyance: there are penalties for sending spam, filters for junk mail are becoming smarter, and there are proposals underway that include needing a mailer ID.

This is all bad news for the spammer while at the same time is great for the rest of us computer users.

Oh, You Are Just Spoiled Rotten!

If you've ever called your own child spoiled rotten, you should be ashamed of yourself. Call someone else's kid that, no problem, but not your own. Why? Because all we can see of someone else's child is a result, and it may be disturbing. Whereas in your own case, the child is the 'spoilee' and you are the 'spoiler'. OK, perhaps your spouse, but you both have some responsibility in it.

Your child is like a dry sponge, with thousands of little cavities waiting to be filled up. And around the child is a world bursting with candy, toys, activities, snacks, TV and computer games all eager to pounce. And who is in the middle? You, the gatekeeper. The key master. The valve.

Now, if you think about it, a sponge works so so when it is bone dry. It actually works a little better when slightly damp, but if the valve is broken, the sponge will fill to capacity quickly and become useless.

Granted, you can point a finger at your mate. He or she is the one who gives Bobby everything he wants. You've even argued about it from time to time, and the same thing is said every time. "Come on, it's just until 11:00", or "think of how happy it will make him", or "I never got one of these when I was a kid", or "OK, but just this once". Sound familiar?

Almost everyone is guilty of this lack of will power to some degree. Unfortunately, if a parent lacks will power, the child will lack even more. This will develop to the point that the child will have no reason to deny him or herself anything. The notion was never passed down from the previous generation. Exercise a little restraint, can't ya?

OK, why should anyone deprive themselves of anything? Seems like a reasonable question. Well, for starters, if, in the extreme case, you got everything you asked for, you would never get to the point of truly wanting for something. However, without wanting something you can't have, at least right away, you don't set goals. And without goals you don't get anywhere. You are simply a full, soggy, sponge.

In addition, the spoiled rotten trait delivers a one-two punch. The spoiled individual may have little concept of the value of something. And worse still, the idea of having to save up for it and buy it on their own can seem ridiculous. Then there is the issue of generosity. How often is a spoiled individual truly generous? These and more negative characteristics can be attributed to someone who is spoiled rotten.

So my point is that as the guardian of all that is innocent and pure, being your child, you have the responsibility to think about such things and teach yourself how to control that which, if left unchecked, might put your child's life out of balance. If discussions with your spouse are called for and may cause some short term distress, better that than passing a bad apple down to your children to make them spoiled rotten.

I heard a remarkable phrase recently that I'd like to relate here. It had to do with ecology, global warming etc. "We did not inherit the earth from our parents, we are borrowing it from our children". And, in a way, I see this fitting in that we are the keepers of (their) childhood so that we can give it back healthy and strong.

If I were your visitor, I'd just turn off my speakers or leave your site. As I said, there is more to web design than purely graphics -- user accessibility is one big part of it too! You should design the text on your site to be legible and reasonably sized to enable your visitors to read it without straining their eyes. 3) Popup windows

Popup windows are so blatantly used to display advertisements that in my mind, 90% of popup windows are not worth my attention so I just close them on instinct every time each one manages to pass through my popup blocker (yes, I do have one like many users out there!) and, well, pops up on my screen. Imagine if you had a very important message to convey and you put it in a popup window that gets killed most of the time it appears on a visitor's screen. Your website loses its function immediately!

How to Start a Business in Panama

Hundreds of foreigners residing here are starting up new businesses in Panama every year.

Panama offers many opportunities for business entrepreneurs. You can start a bar, restaurant, retail shop, hotel, bed & breakfast, provide tour-guides or professional services.

Maybe you are thinking about opening a new business full time? Or, you are retired and thinking of passing the time by engaging in a part-time business.

Whichever you do, Panamanian laws must be understood and complied with. That's why the following information will be useful for every reader who is thinking about starting a business in Panama.

LEGAL BUSINESS STRUCTURE

Your first consideration is to decide what type of business structure to use.

There are 3 normal business entities here in Panama:

Sole Proprietor where you and your spouse & family operate a business as sole owners.

Partnership where you team up with one or more persons in running the business.

Corporation where you register with the government as a company issuing stocks, having a Board of Directors and corporate officers.

While a sole proprietorship can be an oral agreement between close family members, the other two entities need the assistance of a Panamanian lawyer. That's because legal documents need to be prepared forming a Partnership or Corporation. If they are wrongly prepared, they will be legally null and void causing a business legal nightmare for its members.

Let's examine the different legal structures here in Panama:

Corporation (Sociedad Anonima)

Corporations are formed under the Law No. 32 of 1927 and the Commercial Code (Decree-Law No. 5 of 1997, Article 5).

A Panamanian corporation is formed by two persons (called Subscribers) or Nominees (who act on behalf of absent foreigners) who execute legal documents called the Articles of Incorporation. Those documents are filed with the Panama Public Registry office. After the corporation is formed, only one shareholder will be required.

Corporate shares are issued which can be of various classes, can have par value or not, may be officially registered, or can be discreet Bearer shares.

The corporation must have a resident Registered Agent (Panamanian lawyer).

There must be at least three Directors whose names must be in the Articles of Incorporation. Any changes of Directors must also be filed with the Public Registry. Unless the Articles are changed or the corporation merges or dissolves there will be no other filing requirements.

Foreign Corporation

If you already have a corporation in another country, it can do business in Panama by filing the following documents at the Public Registry Office:

1. A notarized Spanish translation of the Articles of Incorporation;

2. Board of Directors minutes authorizing the Panamanian registration;

3. Copies of the most recent financial statements;

4. A certificate from a Panamanian Consul confirming that the company is organized according to the laws of its place of incorporation;

5. Notification of the transfer of capital to the Panamanian operation.

General Partnership

General Partnerships are permitted in Panama. As with most countries, the partners will have unlimited civil liability. That means every partner can be sued even if only one of them commits an error in the course of business.

Limited Partnership

Limited Partnerships (called Sociedad de Responsibilidad) are also permitted in Panama. They are governed by the Commercial Code and Law No. 24 of 1966.

There may be from 2 to 20 partners with no restrictions as to their nationalities or domicile. Their Capital must be at least $2,000 up to $500,000. The names of the partners must be registered with the Public Registry Office including the amount of Capital each contributed. Each partner's civil liability for the Partnership's debts is limited to the amount subscribed to but unpaid. If the Partnership appoints an independent administrator, his/her name must also be registered. No meetings are required if the Partnership has 5 members or less. Otherwise, a meeting must be held at least once a year. There are no requirements for annual returns or filing of any accountings.

An alternative to a Sole Proprietorship is to create an Individual Limited Proprietorship (Empressa Individual de Responsibilidad Limitada). This is set up in the same manner as a Limited Partnership except having only one member. The individual transfers his/her assets to the business. Business civil liability is limited to the amount of the committed assets.

Civil Partnership

A Civil Partnership (Sociedad Civil) is allowed by the Commercial Code and Law No. 24 of 1966. The liability of the partners is unlimited. This type of partnership is often selected by professionals such as lawyers and accountants.

Commandite Company

The Commandite Company (Sociedad en Commandita) is a hybrid partnership and corporation also governed by the Commercial Code and Law No. 24 of 1966. At least one partner must have unlimited liability, while the liability of the limited partners is limited to the amount of capital subscribed. This type of legal structure is seldom used in Panama.

GOVERNMENT PERMITS & LICENSES

Once you have either formed a Panamanian Corporation, or a Partnership, or are acting as a Sole Proprietor, you will need to register your business with the government before opening for business.

The 6 steps provided below are the requirements for registering your business with the national and local governments:

1. Income Tax Registry

This is called "Registro Fiscal" with the Panamanian government.

The Panamanian government has a website explaining what is necessary to register in Spanish. Go to the govt. website at: www.dgi.gob.pa

This is the government Revenue (Tax) Service where your company receives its income tax id number called the Direccion General de Ingresos.

You will need to keep records of income and expenses and file an annual income tax (or corporate tax) return and pay any taxes owed.

2. Commercial License

Another Panama government website will give you information regarding getting a commercial license in Spanish at: www.mici.gob.pa

This Ministry is called the MINISTERIO de COMERCIO e INDUSTRIAS, translated as the Ministry of Commerce & Industry.

This is otherwise known as your Business License. Every business in Panama is required to have one.

3. Municipal Taxes

After getting your Panamanian government licenses, you need to register with your local municipality in order to pay your municipal taxes.

4. Social Security Number

Then you must go to the Registro Patronal de la Caja de Seguro Social (CSS) to get a Social Security number for your business and for yourself.

5. Sanitary Permit

If your business deals with food or beverages, you will need to get Permisos Sanitarios with the Ministerio de Salud.

That translates as a Health Certificate from the Ministry of Health for permission to operate a sanitary business.

Every employee (including owners & management) who prepare or serve food or beverages (or are in the vicinity of food or beverage preparation or service) must obtain two different Permits. One requires a medical & dental examination at a public hospital. The other is issued after attending a two day health & safety course.

6. Fumigation Certificate

Every business which is open to the public must be fumigated. You will need to hire a private fumigation company every four months to fumigate against ants, roaches, and other bugs.

You must then present a receipt from the fumigation company and obtain a Fumigation Certificate from your local municipality. This must be publicly displayed at your business entrance.

Hiring Employees

Now that you have obtained all of the required government permits and licenses, you are now ready to hire employees.

For those of you thinking of hiring your expat buddies, Panama limits a company's work force to a maximum of 10% foreigners (non-Panamanian). Panamanian laws require that 90% of a company's employees be Panamanian citizens, or married to a Panamanian, or foreign persons residing here for at least 10 years.

But, there are exceptions:

1. Required technical or specialized staff unavailable in Panama increases your quota to 15% foreigners. You can also petition the Ministry of Labor for a higher quota.

2. Companies having less than 10 employees can employ 1 foreigner.

3. Companies can employ foreign Managers and Supervisors when the company does business abroad from Panama with prior approval by the Ministry of Labor.

You must obtain a work permit from the Ministry of Labor for every foreign worker.

Panamas Labor Laws

The Labor Code of 1971 deals with Labor Relations including the rights and duties of employers and employees. "Subordination" is the key concept of the law. Any relationship where one person is subordinate to another falls within the law. It makes no difference whether the relationship is or is not described as "employment".

There are certain basic employee rights which must be followed:

1. Written Employment Contract

2. Minimum Wage

3. Maximum Hours

4. Paid Vacation Time

5. Firing Employees

Employee Contracts

You must have your employees sign a written employment contract called an Inscripcion Contratos con trabajadores.

You must file two copies of the contract with the Ministerio de Trabajo y Desarrollo Laboral.

Employers can easily terminate the employee during the first two years. After that, employees have greater protection under the law. The law lists "just causes" for dismissal. Unlawful dismissals can result in minimal compensation payments. Both parties can contract for "fixed terms".

Minimum wage levels vary according to the employee's seniority.

Vacations: There are 11 public holidays per year. In addition, employees are entitled to a 30 day vacation every year.

13th Month: The law also requires a 30 day paid bonus every year which is known as "the 13th month". This bonus is estimated at one-salary day for every 11 days of work. The 13 month bonus is paid in 3 equal installments: April 15th, August 15th, and December 15th every year.

Unions

Unions are allowed in Panama. Unions can collectively negotiate on behalf of the employees. Strikes are lawful under defined circumstances after a majority vote of the member employees. Conciliation is mandatory before a strike can occur. However, only around 11% of the private sector employees are unionized.

Leasing Office or Business Premises

Panama's laws regarding leasing commercial space is similar to most English speaking countries.

1. It needs to be in Writing.

2. It needs to properly describe the location of the pre-mises.

3. It needs to address the amount and frequency of the lease payments, length of the lease period, whether there is a Security and/or Damage deposit, who pays for gas, water, electricity, and repairs. It will also contain provisions for late rent payments, tenant property damage, and renewal of the lease term.

4. It must be signed by the property owners (or legally authorized representatives) and the tenants.

5. All signatures must be Notarized before a Notary Public.

There are many more terms and conditions which should be included in a standard commercial lease which is why you should consult with a Panamanian attorney before signing one prepared by your landlord.

Business Bank Account

Even if you are a sole proprietor, you should never co-mingle your personal funds with business monies. That is why you'll need to open a bank account for your business.

Partnerships and Corporations definitely need to open separate Business or Corporate Bank Accounts.

When you open an account for a corporation, partnership, or a business most banks require the following information and documentation:

1. Most banks require a personal interview, while some banks may allow a telephone interview.

2. A clear copy of the account's Signatory and each corporate Director's Passport (must include the photo & personal information page, and Panama entry stamp page).

3. A clear copy of a second photo id (such as a driver's license or national id card).

4. Two bank references for each Director and account Signatory. These references must entail the satisfactory conduct of the account holder and that the banking relationship had been ongoing for a minimum of 2 years. It would be helpful if the references also confirm the person's residential address. Many Panamanian banks require the references be specifically addressed to that bank's branch. Some banks may accept only one bank reference letter (especially if you have done all of your banking with only one bank).

5. Two professional references for each Director and account Signatory. These references may be written by one's accountant, lawyer, stock broker, insurance broker, real estate broker, or employer. They should be written on their company letterhead. These must include the duration and nature of their business relationship with the applicant. Only an Original letter will be accepted.

6. Proof of Address: You must provide a copy of a utility bill (phone, water, electricity, cable TV, or Internet service) which contains your name and address.

7. A "Company Profile" letter must be submitted which briefly describes the type of business the account holder will engage in. This will include the location of the business, the products or services you are selling, the nature and expected volume of business, the origin of the funds to be deposited, an estimate of the monthly or annual amount of funds to be deposited, and the reason for opening a bank account in Panama.

It will help if your Panamanian lawyer accompanies you to the bank in order to make sure the process goes smoothly.

Once all of these documents have been received, they will be forwarded to the bank's Compliance Officer who reviews the entire application to insure no money laundering will occur.

This process will go smoother and may have less required documents if you first go to the Panamanian bank where you already have a personal account as they already know you.

Taxes

Now that you are licensed, moved into your commercial space, hired employees and have a bank account; you need to worry about taxes.

The Types of Whiskey: Round Three

Friends, Romans, Whiskey Lovers. After drinking in round one and round two of our whiskey lesson, we move onto the third and final round: American Whiskey. Now, it may seem that its a patriotic ploy on my part to dedicate an entire article to American Whiskey particularly when whiskies from other countries shared pages with each other but I assure you it is only due to the vastness American Whiskey contains. Hey, if you dont believe me, take it up with Jim and Jack.

American Whiskey comes in both blended and straight forms. Both types possess individual rules and regulations and, perhaps most importantly, unique tastes.

Tennessee Whiskey: A Gemini, this whiskey hails from its namesake and enjoys long walks on the beach and being made of corn. Tennessee Whiskey is similar to Bourbon in composition, at least fifty one percent must be maize based. It must then be aged in new barrels, usually for at least four years.

The main difference between Bourbon and Tennessee Whiskey is that the latter is put through a filtering method called the Lincoln County Process. During this process, whiskey is filtered through a maple charcoal prior to aging. Ultimately, this gives Tennessee Whiskey a flavor that is highly removed from Bourbon. Today, Jack Daniels and George Dickel are the two Tennessee Whiskeys available.

Bourbon: Typically known as Kentuckys drink, Bourbon must be made up of at least 51 percent corn, but usually contains near 70 percent. The remaining ingredients include wheat, malted barely, or rye. Many Bourbons are aged for four years, but, by law, they must be aged for at least two years to be considered Straight."

Presently, the vast majority of Bourbon is made in Kentucky. It can, however, be made anywhere it is not illegal to distill spirits. Illinois, Indiana, Ohio, Tennessee, Missouri, and Virginia all serve as states where Bourbon was once produced. The latter, Virginia, still produces some on occasion.

Corn Whiskey: The corniest whiskey around, corn whiskey is composed of at least 80 percent maize (no, this does not count towards the food pyramid's required servings of vegetables). The Dick Clark of whiskey, Corn Whiskey does not have to age. If it is aged, the aging is short, usually around six months.

This aging, or lack there of, is the main difference between Bourbon and Corn Whiskey. Bourbon must be aged in charred, new barrels whereas Corn Whiskey if its aged must be placed in either used barrels, or uncharred oak barrels.

Moonshine: Its hard to think about Prohibition without thinking about Moonshine. Slang for alcohol distilled at home, Moonshine likely got its name from being made, delivered, and distributed under darkness, when law enforcement wasnt as vigilant. During times when alcohol was outlawed, Moonshine was particularly popular and smuggled into homes and businesses.

Typically thought of as a very strong spirit, Moonshine is made when sugar is fermented by yeast and ethanol is produced. The alcohol is then separated through distillation. Since the process was initially illegal, Moonshine wasnt usually aged and sometimes contained toxins and lacked purity. Presently, it is still produced, mainly in Virginia.

So, there you have it. Go out and order Bourbon or a Jim Beam (try to stay away from the Moonshine) and make whiskey your own. Except if our paths cross: in that case, buy a round for me and make whiskey my own.

* The Java Platform Is Weakening

Successful programming languages seem to emerge every decade or so. Bell Labs developed the C programming language in the early 1970s, C++ was released by AT&T in 1985 and slowly subsumed C because it had features allowing object-oriented programming. Sun released Java in 1996, and it rapidly emerged as a popular language for Internet development. Java has been growing steadily ever since. Trivial logic dictates were due for a new programming language around now, and Java should start to decline soon.

* Complexity

Javas complexity is increasing. With one massively complex framework after another, Java vendors embraced EJB and the most complicated version imaginable of web services and XML. EJB vendors redesigned EJB from scratch twice, forcing significant migrations on their customers.

* Availability

* Competition

In February 2005, IBM announced consulting support for PHP. Ruby on Rails has passed 500,000 total downloads. Peter Yared, Suns previous application server CTO predicted that J2EE would lose to LAMP (open source software consisting of Linux, Apache web server, MySQL, and a dynamic language such as Python, Perl, or PHP)

Ruby language

Ruby is a reflective, dynamic, object-oriented programming language. It combines syntax inspired by Perl with Smalltalk-like object-oriented features, and also shares some features with Python, Lisp, Dylan, and CLU. Ruby is a single-pass interpreted language.

Ruby Pros

* Productivity: Ruby and Ruby on Rails have higher productivity measured as Lines of code per feature size and time to build feature.

* Short ramp up times, well motivated team and experienced team can be productive on RoR platform in less than a week cross training

* A long list of industry visionaries are supporting Ruby

o Martin Fowler, chief scientist at ThoughtWorks

o James Duncan Davidson, creator of Ant and Tomcat, is using Rails in a start-up to develop a web-enabled rich application that will be the primary offering of that company.

o David Geary, key designer for several successful web development frameworks including JavaServer Faces (JSF) is speaking and blogging about Rails with regularity.

o Richard Monson Haefel, once one of two voting individuals for the Java Community Process (JCP) recently led the Burton Group in a discussion with high-profile U.S. companies about Ruby on Rails as an important emerging technology. He has also published a paper about using Rails with Oracle.

* Ruby and Ruby on Rails have higher productivity which leads to other benefits like:

o More productivity leads to fewer developers per project.

o You spend less effort on communication for small projects.

o Having fewer developers per project also lowers management costs per project.

o When you finish applications sooner, you deliver their value to the business sooner.

Ruby Cons

* As a new language, Ruby could potentially stagnate, which could make scarce resources even harder to find.

* There are not as many deployed Ruby applications in production yet, so we dont have as much definitive proof of the ultimate scalability of Ruby.

* The Ruby community is not as well established as the Java community, so its harder to find third-party components, frameworks, education, and services.

* Ruby is less structured than Java and has fewer automated features to protect applications from abuse. This flexibility is both a strength and a weakness.

Summary

Impetus strongly believes that in the current scenario Java and Ruby technology platforms will continue to coexist and address different need. RoR and Ruby platform is much better suited for a particular type of Web Applications and Sites where application programmers can control the database.

Java technology platform is proven and addresses issues like two phase commit and distributed objects very well.

In the coming future the equations may change, Ruby platform has a high chance of overtaking Java Platform to be the platform of choice for building all types of application. Impetus believes that the following factors are conducive of Rubys probability of replacing Java

* Network ubiquity and increasing bandwidth changes the dynamics and premises on which the distributed architecture principles were built. Thin client and layered architectures were necessitated for conserving network bandwidth and reducing network traffic due to latency. In a world with fast and fat pipes of connection these premises would not hold anymore. This tilts the balance in favor of Ruby and ROR.

* CPU cycles and memory is becoming ridiculously cheap. Performance and scaling up potentially will be lesser of an issue as you could use more hardware to scale up applications without having to take on a huge cost burden. This again tilts the balance in Rubys favor.
